Welcome to the Golf Operations Chatbot platform (“Platform”), provided by Alternate Shot Marketing (“we,” “us,” or “our”). By accessing or using our Platform, you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not use the Platform.

1. Overview of the Platform

The Golf Operations Chatbot is an AI-powered software-as-a-service (“SaaS”) platform designed for private golf clubs and their members. The Platform provides an intelligent virtual assistant that answers questions about club policies, operations, and procedures based on a customizable knowledge base managed by each subscribing club.

2. Eligibility

You must be at least 18 years old to create an account or use the Platform. By using the Platform, you represent that you meet this requirement and have the authority to agree to these Terms on behalf of yourself or the organization you represent.

3. Account Registration and Security

When you create an account, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscription and Payment

4.1 Subscription Plans

Access to the Platform is provided on a subscription basis. Subscription details, including features, pricing, and billing cycles, are outlined in your service agreement or on our pricing page. All fees are quoted in U.S. dollars unless otherwise stated.

4.2 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date. You authorize us to charge your designated payment method for all applicable fees.

4.3 Refunds

Fees are non-refundable except where required by applicable law or as expressly stated in your service agreement. If you cancel mid-cycle, you will retain access through the end of your current billing period.

4.4 Taxes

You are responsible for all applicable taxes associated with your subscription. We may collect and remit taxes where legally required.

5. Multi-Club Licensing

If you subscribe on behalf of a golf club or organization (“Club”), you represent that you have the authority to bind that Club to these Terms. Each Club subscription is for a single club location. Additional locations require separate subscriptions. You may not share, resell, or redistribute access to the Platform to third parties without our prior written consent.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Platform for any purpose other than golf club operations and member communication
Attempt to reverse-engineer, decompile, or extract source code from the Platform
Interfere with or disrupt the Platform’s infrastructure, security, or performance
Upload content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
Use automated scripts, bots, or scrapers to access the Platform outside of its intended interface
Impersonate another user or misrepresent your affiliation with a club or organization
Use the Platform to store or transmit sensitive personal data such as Social Security numbers, financial account numbers, or medical records

7. AI-Generated Content

7.1 Nature of Responses

The Platform uses artificial intelligence to generate responses based on the knowledge base content configured by your club. AI-generated responses are informational in nature and should not be treated as professional, legal, financial, or medical advice.

7.2 Accuracy

While we strive for accuracy, AI-generated content may occasionally contain errors, omissions, or outdated information. Your club’s administrator is responsible for maintaining an accurate and current knowledge base. We do not guarantee the accuracy, completeness, or reliability of any AI-generated response.

7.3 Human Oversight

We recommend that clubs designate a staff member to periodically review chat logs and AI responses to ensure quality and accuracy. The Platform includes administrative tools for this purpose.

8. Data and Privacy

8.1 Data You Provide

You retain ownership of all content you upload to the Platform, including knowledge base documents, user information, and chat interactions. By uploading content, you grant us a limited, non-exclusive license to use that content solely to operate and improve the Platform.

8.2 Data We Collect

We collect and process data as described in our Privacy Policy [link]. This includes account information, usage data, and chat logs necessary to provide and improve the Platform.

8.3 Data Processing

Chat messages are processed through third-party AI services (currently Anthropic’s Claude API) to generate responses. By using the Platform, you acknowledge that message content is transmitted to these services for processing. We select AI providers that maintain appropriate data handling and security practices.

8.4 Data Retention

Chat history is retained for a limited period as configured by your club’s administrator. You may request deletion of your data by contacting us at [support email].

8.5 Confidentiality

We will not access, use, or disclose your knowledge base content or chat data except as necessary to operate the Platform, comply with legal obligations, or with your consent.

9. Intellectual Property

9.1 Our Property

The Platform, including its design, software, features, and documentation, is owned by Alternate Shot Marketing and is protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any ownership rights to you.

9.2 Your Content

You retain all rights to the content you upload. You are solely responsible for ensuring you have the necessary rights to upload and use any content on the Platform.

9.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Platform, you grant us an unrestricted, perpetual, royalty-free license to use that feedback for any purpose without obligation to you.

10. Third-Party Services

The Platform integrates with third-party services, including AI providers, hosting infrastructure, and analytics tools. We are not responsible for the availability, performance, or practices of third-party services. Your use of such services may be subject to their own terms and policies.

11. Service Availability

We aim to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. We may perform scheduled maintenance, apply updates, or temporarily suspend access as needed. We will make reasonable efforts to provide advance notice of planned downtime.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Alternate Shot Marketing and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

14.1 By You

You may cancel your subscription at any time through your account settings or by contacting us at [support email]. Cancellation takes effect at the end of your current billing period.

14.2 By Us

We may suspend or terminate your access to the Platform at any time if you violate these Terms, fail to pay applicable fees, or if we determine that your use poses a risk to the Platform or other users. We will make reasonable efforts to notify you in advance unless immediate action is required.

14.3 Effect of Termination

Upon termination, your right to access the Platform ceases. You may request an export of your data within 30 days of termination. After that period, we may delete your data in accordance with our retention policies.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
